AVI - MPEG2-WMV to MPEG4 Conversion

I want a program that can take an AVI file of anykind or codec, MPEG2, or WMV Video and Audio File and converter it to a high quality MPEG4 file. I don't know what settings are required, but if the input file is at a specific quality, the program converts it to the proper high quality resolution MPEG4 equal. If a video file is a pixel size of 780 x 480, the MPEG4 takes on the size of the source file. If the audio is 44.1 sample rate These are the MPEG4 requirements NTSC (4:3) size and framerate, deinterlaced Video Codec: MPEG4 Video Bitrate: at least 260Kbps (750kbps preferred) This should be adjustable Audio Codec: MP3 vbr This is set. Audio Bitrate: at least 70Kbps (128 Kbps preferred) This is set or adjustable whatever is need to work as I do not tech specs. This is should be easy for a programmer who knows computer video files and codecs. Thanks.
