c# .net video editor with timeline and overlaying of audio and video and still images. Needs to be simple easy to use gui

Am looking for a software that combines several important features: Should work with mp4, avi and flv files and mp3 and wav for audio. Ideally with some type of a timeline view (doesnt need to be a traditional timeline ... ie not like After Effects) ... can be simpler, but functional. 1. Ability to add clips, cut and join them and reorder them 2. Video Viewer so user can see what they are doing. 3. Ability to overlay transparent PNG images and texts over the video with some simple transition like fade in and fade out 4. Audio track overlay with control for volume levels Max Budget $400 on this one, as there are .net components that offer this.
