I would like a simple 2 -3 page agreement, between myself and another person ( existing owners of distribution business) committing him to sell his shares in a limited liability business to me on a particular date. I would like transfer of 100 % of issued shares in the business. The business currently has a debt/loan + and overdraft facility with a bank and the current owner is the garantor for this company debt and overdraft. In exchange of 100 % of shares in the company, i will take over the debt and overdraft facility. I would like mention that an appendice of assets will be transferred as part of share purchase along side anything else required to operate the business. ie domian names, it systems, leases etc
