Win2000 Server File sharing application

My company using Windows2000 as file sharing Server. Now want to develop an application, which restrict User edit/addnew documents by open the Server Files (not allow Users download those files into their PC). The key functions is listed as above, plus some minor features like log reports and admin features. I am welcome for web solution or client/server solutions.
